Item 1. Security and Issuer

 

This Amendment No. 3 to Schedule 13D (“Amendment No. 3”) relates to the Common Stock, $0.001 par value per share, of Kana Software, Inc. (“Kana”), which has its principal offices at 181 Constitution Drive, Menlo Park, California 94025.  This Amendment No. 4 amends and supplements, as set forth below, the information contained in Item 1, 3, 4, 5 and 7 of the Schedule 13D filed by the Reporting Persons with respect to Kana on November 21, 2008, as previously amended (the “Schedule 13D”).  Except as amended by this Amendment No. 4, all information contained in the Schedule 13D is, after reasonable inquiry and to the best of the Reporting Persons’ knowledge and belief, true, complete and correct as of the date of this Amendment No. 4.

 

Item 3. Source and Amount of Funds or Other Consideration

 

Item 3 of the Schedule 13D is hereby amended by adding the following paragraph:

 

The aggregate purchase price of the 13,250 shares purchased by KVO since January 30, 2009 was $9,407.50 (including commissions).  The source of funding for the purchase of these shares was the investment capital contained in the respective accounts.

 

Item 4. Purpose of Transaction

 

Item 4 to Schedule 13D is amended by adding the following:

 

It is apparent that KANA has chosen to ignore the obvious business imperative requiring significant cuts in its operations and instead has determined to continue to pursue its failed 13-year business strategy reliant on equity raises and bank financing. This strategy has apparently put the Company in a position where it is unable to timely file its required SEC reports and will be ineligible for quotation on the OTC Bulletin Board this month.

 

At this time, we expect to propose an alternate slate of directors for the next annual meeting shortly after the Company sets an annual meeting date.  Given the rate of destruction of stockholder value by the Company’s management and Board of Directors, and the provisions of the Company’s charter, by-laws and rights plan that have the effect of entrenching the Company’s failed leaders, we may take other actions aimed at preserving remaining stockholder value. Such actions may include, but are not limited to, engaging in discussions with the Company’s bank about purchasing KANA’s outstanding bank debt, and/or seeking to raise financing to pursue the purchase of KANA or all or substantially all of its assets.

 

We will continue to consider various alternative courses of action with respect to our investment as we deem appropriate in light of the circumstances existing from time to time.

(1)           Includes 354,675 shares held in a private account on behalf of Mr. Ashton, a portfolio manager of KVO, over which KVO has both voting and dispositive power pursuant to contract.  KVO’s voting and dispositive power over these shares is revocable only if Mr. Ashton terminates his employment with KVO, at which time the right to vote and dispose of those shares will revert to him.  Also includes 2,999,668 shares held in other private accounts over which KVO has both voting and dispositive power pursuant to contract.  KVO’s voting and dispositive power over these shares is revocable on or after December 31, 2010.

(2)           Mr. Oberting is the Managing Member of KVO.  By reason of the provisions of Rule 13d-3 of the Securities Exchange Act of 1934 (the “Exchange Act”), Mr. Oberting may be deemed to beneficially own all of the shares that KVO is deemed to beneficially own.  Mr. Oberting disclaims beneficial ownership of any of the securities covered by this Schedule 13D.

(3)           Consists of 354,675 shares held in a private account on behalf of Mr. Ashton over which KVO has both voting and dispositive power pursuant to contract.  KVO’s voting and dispositive power over these shares is revocable only if Mr. Ashton terminates his employment with KVO, at which time the right to vote and dispose of those shares will revert to him.  By reason of the provisions of Rule 13d-3 of the Exchange Act, Mr. Ashton may be deemed to beneficially own these shares.

 

(4)           Does not include 2,999,668 shares held in additional private accounts over which KVO has both voting and dispositive power pursuant to contract.  Though Mr. Ashton does not have actual control over the voting, acquisition or disposition of these shares, by virtue of his role a portfolio manager for KVO, he may be deemed to have effective control with respect thereto, and may be deemed to beneficially own them by reason of the provisions of Rule 13d-3 of the Exchange Act.  Mr. Ashton disclaims beneficial ownership of these shares.
